Distance Sales Agreement
1. Parties
This Agreement is concluded between the following parties under the terms and conditions set out herein.

By accepting this Agreement, the BUYER acknowledges in advance that if they approve the order for the subscription / service subject to the Agreement, they will be obliged to pay the order amount and any stated additional charges such as taxes or processing fees, and that they have been informed accordingly. Because the HostFlow Service is performed digitally, no cargo fee arises.
2. Definitions
For the purposes of applying and interpreting this Agreement, the terms below have the meanings set opposite them.
- MINISTER: The Minister of Trade
- MINISTRY: The Ministry of Trade
- LAW: Law No. 6502 on the Protection of Consumers
- REGULATION: The Regulation on Distance Contracts
- SERVICE: Any consumer transaction other than the supply of goods, performed or undertaken for a fee or benefit, including HostFlow software access, subscription, channel management, calendar, reservation, pricing, and similar digital services
- SELLER: The natural or legal person who offers a service to the consumer within the scope of their commercial or professional activities, or who acts on behalf or for the account of the person offering the service (HostFlow / [Company Legal Name])
- BUYER: The natural or legal person who acquires, uses, or benefits from a good or service for non-commercial or non-professional purposes
- SITE: The SELLER's website, application, and HostFlow platform
- ORDERING PARTY: The natural or legal person who requests a subscription or service through the SELLER's Site
- PARTIES: The SELLER and the BUYER
- AGREEMENT: This agreement concluded between the SELLER and the BUYER
- GOODS / SUBJECT OF SERVICE: The HostFlow software service, digital content, subscription access, and similar intangible services / software offered for use in an electronic environment
3. Subject
This Agreement regulates the parties' rights and obligations under Law No. 6502 and the Regulation on Distance Contracts regarding the sale and electronic performance of the HostFlow subscription / software service whose qualities and sales price are stated, ordered electronically by the BUYER through the SELLER's Site.
Prices listed and announced on the Site are sales prices. Announced prices and promises remain valid until updated or changed. Time-limited announced prices remain valid until the end of the stated period.

Due to the nature of the digital service, a physical delivery address is not mandatory; the Service is performed by provisioning electronic access to the BUYER's account.

7. Information on the service subject to the Agreement
7.1. Essential characteristics
The essential characteristics of the Service (plan type, scope, unit / user / feature limits, and similar) are published on the SELLER's Site, on the pricing page, and/or at the order / payment step. If the SELLER runs a campaign, the essential characteristics of the relevant plan may be reviewed during the campaign period.
HostFlow is a software service (SaaS / PMS) covering property management, calendars, reservations, pricing, channel management, and subscription services for short-term rental and hospitality businesses.
7.2. Prices
Prices listed and announced on the Site are sales prices. Announced prices and promises remain valid until updated or changed. Time-limited announced prices remain valid until the end of the stated period.
7.3. Taxes and payments
The sales price of the Service subject to the Agreement, including all taxes, is determined according to the plan, period (monthly / yearly, etc.), quantity / unit, and any discount information shown to the BUYER on the order / payment screen.

The definitive amount is the amount approved by the BUYER at the payment step.

Invoice delivery: The invoice is delivered electronically (by email and/or via the HostFlow account panel). Physical invoice shipment is generally not made; if required by legislation or at the BUYER's request, it is provided in the manner notified by the SELLER.
9. General provisions
9.1. Information and acceptance
The BUYER accepts, declares, and undertakes that they have read and become informed of the preliminary information on the Site regarding the essential characteristics of the Service subject to the Agreement, the sales price, the payment method, and performance, and that they have given the required confirmation electronically.
9.2. Performance / access period
The Service subject to the Agreement is performed by provisioning electronic access to the BUYER's HostFlow account after payment confirmation, without exceeding the 30-day statutory maximum period. If a shorter period is stated in the preliminary information on the Site, that period prevails.
If performance of the Service becomes impossible, the SELLER shall notify the BUYER within 3 days of becoming aware of the situation and refund the amount within 14 days.
9.3. Payment methods
The BUYER may pay the subscription fee by the following methods: credit card / debit card (iyzico); bank transfer / EFT; and mail-order (for corporate customers or where operationally necessary).
Card details are not stored in HostFlow systems; online collections are processed through the authorized payment provider infrastructure.
10. Right of withdrawal
Where the distance contract concerns the sale of a service, the BUYER may withdraw from the Agreement within 14 days from the date the contract is concluded / the Service is performed, by notifying the SELLER, without giving any reason.
Withdrawal notices are given in writing via [Company Email Address], [Registered Address], or other contact channels published by the SELLER on the Site.
However, the provisions of Article 11 below are reserved.
11. Cases where the right of withdrawal cannot be used
Under the Regulation, the right of withdrawal cannot be used for services performed immediately in an electronic environment, intangible goods delivered immediately to the consumer, digital content / software services, and services whose performance has begun with the consumer's consent before the withdrawal period expires.
In this context, for HostFlow the right of withdrawal cannot be used / is limited especially in the following cases:
- Activation of the account after payment, opening of panel access, or commencement of use of the Service
- HostFlow subscription and software access performed immediately in an electronic environment
- Setup, integration, consulting, or managed services specially configured at the BUYER's request
- Subscription fees for periods already used (mandatory cases under legislation reserved)
By making a payment or using the Service, the BUYER acknowledges that they have been informed about commencement of performance of the digital service and that the right of withdrawal may not be available in the relevant cases.

12. Default and legal consequences
If the BUYER defaults when payment is made by credit card, the BUYER accepts, declares, and undertakes that they will pay interest under the credit card agreement with the card-issuing bank and will be liable to the bank.
In this case the relevant bank may pursue legal remedies and claim arising costs and attorney fees from the BUYER. If the BUYER defaults on their debt, the BUYER accepts that they will pay the SELLER's damages arising from delayed performance. The SELLER reserves the right to suspend Service access and terminate the Agreement for unpaid subscriptions.
13. Competent authorities
For consumer disputes arising from this Agreement, applications may be made to competent consumer arbitration committees or consumer courts under applicable legislation.
For transactions that do not qualify as consumer transactions (commercial / professional purposes), the courts and enforcement offices at the SELLER's place of residence are competent (mandatory provisions of legislation reserved).
14. Entry into force and updates
When the BUYER completes payment for the order / subscription placed on the Site, or electronically approves this Agreement, they are deemed to have accepted all terms of the Agreement.
The SELLER may update this Agreement at any time. The updated text takes effect when published on the Site or within the Service and, without requiring separate approval, is deemed accepted by continued use of the Service.
This Agreement is deemed concluded and in force at the moment payment is made / electronic approval is given by the BUYER.
